End User License Agreement (Community License)
Software License Agreement for <Product Name> ("Software").
Please read carefully - By installing this software, and/or clicking on "I Agree", you as an individual or on behalf of an entity as its authorised representative agree to all terms and conditions of this End User License Agreement regards your use of this Software. If you do not agree with all of the terms, click "I Do Not Agree" and do not install, use or copy this software.
These terms are designed so that you may use the Software freely, but you cannot make any profit from this work without express written permission.
You can not reproduce or redistribute the software, by any means unless it is part of a larger system. This means you cannot make the software available on your own web site, incorporate it onto CD or other media for onward distribution.
You can use and distribute the software internally within your organisation.
You can not distribute the software externally of your organisation or charge for services that require them.
You may not:
· reverse engineer, decompile, disassemble, or reflect the Software
· modify, or create derivative works based upon, the Software in whole or in part
· distribute copies of the Software
· remove any proprietary notices or labels on the Software
· resell, lease, rent, transfer, sublicense, or otherwise transfer rights
to the Software.
The Software is provided "AS IS" and without warranties of any kind. Put simply you use it entirely at your own risk.
The Software is designed to work in conjunction with Microsoft SQL Server 2005, however it is not endorsed or verified by the Microsoft Corporation. You are entirely responsible for licensing Microsoft SQL Server 2005 for use in conjunction with the Software.
Full Terms
1. Konesans Limited grants you a non-exclusive license to use the Downloaded Software subject to Your acceptance and continued compliance with all the terms and conditions of this license.
2. You may only use the Software on a computer that you own, lease or control.
3. You are only granted a license for the machine-readable, object code portion of the Software. You will not modify, enhance, reverse engineer or otherwise alter the Software from its current state.
4. Title, ownership rights, and intellectual property rights in and to the Software, and each copy thereof (including all copyrights therein), shall remain with Konesans Limited. The Software is protected by the copyright laws of the United Kingdom, and international copyright treaties.
5. You may not distribute, copy, publish, assign, sell, bargain, convey, transfer, pledge, lease or grant any further rights to use the Software, except for distribution within a single business entity, on a no charge basis. Selling, licensing or renting the Software to third parties for a fee (by payment of money or otherwise, whether direct or indirect) is expressly forbidden under these terms.
6. You have no proprietary rights in and to the Software. You acknowledge and agree that Konesans Limited retains all copyrights and other proprietary rights in and to the Software.
7. Your license to use the Software shall be revocable by Konesans Limited upon written notice to you. In addition, this license shall automatically terminate upon your violation of the terms hereof or upon your use of the Software beyond the scope of the license provided herein.
8. Use within the scope of this license is free of charge and no royalty or licensing fees shall be payable by you. Use beyond the scope of this license shall constitute copyright infringement.
9. This license shall be effective and bind you upon your downloading of the Software.
10. You accept the Software on an 'AS IS' and with all faults basis. No representations and warranties are made to you regarding any aspect of the Software.
11. KONESANS LIMITED HEREBY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, RELATIVE TO THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTIBILITY. KONESANS LIMTED SHALL NOT BE LIABLE OR RESPONSIBLE FOR ANY DAMAGES, INJURIES OR LIABILITIES CAUSED DIRECTLY OR INDIRECTLY FROM THE USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES.
12. This License Agreement shall be construed, interpreted and governed by the laws of the England, United Kingdom, without regard to conflicts of law provisions thereof. The exclusive forum for any disputes arising out of or relating to this License Agreement shall be an appropriate national/federal or state court sitting in England, United Kingdom. This License Agreement shall constitute the entire Agreement between the parties hereto. Any waiver or modification of this License Agreement shall only be effective if it is in writing and signed by both parties hereto. If any part of this License Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remainder of this License Agreement shall be interpreted so as to reasonably affect the intention of the parties.
13. Konesans Limited’s failure to enforce any rights hereunder or its copyright in the Software shall not be construed as amending this agreement or waiving any of Konesans Limited’s rights hereunder or under any provision of United Kingdom law.
